Job Description

Duties:

  • Provide full legal support for overseas (US, Japan, offshore) equity investment, private fund establishment and management

  • Draft and review off-shore structure (BVI/Cayman, etc.) transaction documents, including shareholder agreements, anti-dilution clauses, preferential rights clauses, etc.

  • Handling U.S. corporate law-related compliance matters (such as compliance disclosure, corporate governance)

  • Lead cross-border mergers and acquisitions, capital market legal due diligence and risk control

  • According to project requirements, flexibly coordinate domestic and foreign work locations (such as Hong Kong, short-term assignment to the United States)

Education background:

  • Foreign well-known law school education

  • Preference will be given to those who hold or have held American/Hong Kong lawyer qualifications (such as the New York State Bar or HK Solicitor)

Professional skills:

  • 5 years of international law firm or top Chinese law firm cross-border business experience

  • Proficient in Hong Kong's Company Ordinance and offshore judicial district regulations

  • Deep understanding of US company law

  • Deep involvement in equity financing and fund raising (QFLP/QDIE structure implementation experience is a plus)

  • Proficient in writing English transaction documents (such as LPA, SPA, SHA)

  • Fluent in Chinese and English (with the ability to draft legal documents and negotiate)

  • Adapt to high-intensity work rhythms, and be flexible with business trips
