Job Description

CFO (must have proven US IPO leadership) to lead finance, governance, and investor readiness for a company preparing to list on a US exchange; will own financial reporting, SEC readiness, investor relations, and post‑IPO controls.

About the Role

Overview We are seeking a seasoned finance leader to drive our company through a US initial public offering and into life as a public company. The CFO will be the primary owner of financial strategy, SEC and US GAAP readiness, investor communications, and the build‑out of scalable finance and control functions. US IPO experience is mandatory for this role.

Key Responsibilities

  • Lead IPO readiness and execution: manage S‑1 preparation, coordinate external advisors (underwriters, auditors, legal), and ensure timely SEC filings.

  • Financial reporting and controls: implement and certify robust US GAAP financial statements, SOX‑ready internal controls, and month/quarter close processes.

  • Investor relations and capital markets: craft the equity story, lead roadshows, manage analyst and investor engagement, and set guidance frameworks.

  • Strategic finance and forecasting: own long‑range planning, scenario modeling, and post‑IPO financial targets.

  • Treasury and capital structure: optimize liquidity, debt strategy, and equity plans including executive and broad‑based equity programs.

  • Team leadership: recruit, mentor, and scale finance, accounting, tax, and FP&A teams to meet public company demands.

  • Compliance and governance: partner with the board and audit committee to strengthen governance, disclosure controls, and risk management.

Required Qualifications

  • Proven track record leading at least one successful US IPO as a senior finance leader or CFO.

  • Deep knowledge of US GAAP, SEC reporting, and SOX compliance.

  • Experience managing external advisors (investment banks, auditors, securities counsel) through an IPO process.

  • 10+ years senior finance leadership

  • Strong communication skills for investor and board engagement.

Preferred Qualifications

  • Experience with US exchanges (NYSE or NASDAQ) and public company investor relations.

Competencies and Leadership

  • Strategic thinker who can translate market positioning into a credible IPO narrative.

  • Operational rigor to build repeatable close and control processes.

  • High emotional intelligence to lead cross‑functional teams and manage investor scrutiny.
