Corporate Secretary
Co-ordinate and manage the company's statutory compliance affairs in Hong Kong, the British Virgin Islands (BVI) and the Cayman Islands, including company registration, annual returns, registration of changes in directors and shareholders, archiving of meeting minutes, and maintenance of statutory books.
Coordinate the company and various financial institutions, it is responsible for opening, updating and continuously maintaining business relationships with Hong Kong and overseas banks, securities brokerage houses and other licensed financial institutions.
Coordinate and arrange the convening of the board of directors and the general meeting of shareholders, including agenda formulation, document preparation, meeting notification, resolution drafting and follow-up implementation matters.
Ensure that the company continues to comply with local regulatory requirements, including applicable regulations such as the Hong Kong "Companies Ordinance", the BVI "Commercial Company Law" and the Cayman "Company Law", and provide internal advice on major compliance risks.
Support group structure restructuring, holding level adjustment and cross-jurisdiction corporate governance optimization projects, and cooperate with the legal and financial teams to complete relevant documents and reporting procedures.
Work requirements
Have practical experience in company secretarial work in Hong Kong , BVI and Cayman, and are familiar with the establishment, operation and compliance framework of companies in the three places.
Have long-term cooperation experience with local and international financial institutions (such as commercial banks, securities banks, trust companies and registered agencies), and have independent communication and relationship maintenance capabilities.
Proficient in English written and spoken expressions, able to accurately write statutory documents, meeting minutes, compliance letters and internal reporting materials.
Meticulous and rigorous, with strong time management and multitasking capabilities, it can handle the compliance cycle work of multiple companies in parallel in different jurisdictions.
Familiar with common corporate governance tools and electronic platforms (such as HK Company Registry Portal, Cayman CIMA Portal, BVI FSC Portal), with basic data management and document system operation capabilities.
